在英语合同中，经常会用的情态动词shall, shall not, may, may not，但是它们在英语合同中所表达的含义与普通英语所表达的含义是有所不同的。合同中的“可以做什么”一般用“may do”翻译，而“不可以”做什么则一般使用“may not do/shall not do”来翻译。同时“may”有时也可作“must（须）”或“shall（应）”理解（一般在涉及公职人员责任时，可有此含义，但须根据上下文全面理解）。

例1

This Agreement may be executed and delivered in one or more counterparts, and by the different Parties in separate counterparts, each of which when executed shall be deemed to be an original and all of which taken together shall constitute one andthe same agreement.

本协议可以由双方分别签订并交付一份或多份副本，每一份在签订时均被视为原件且将共同组成一个并相同的协议

例2

Notwithstanding any provision in this Agreement, the General Partner may not make Drawdowns on any Limited Partner in excess of their Capital Commitment, unless the prior unanimous consent of all the Limited Partners has been obtained by the General Partner.
